Terms of Service

1. Overview
These Terms of Service ("Terms") govern your access to and use of the StruxVault platform, websites, and related services (collectively, the "Service"), operated by StruxVault Pty Ltd ("StruxVault", "Company", "we", "us", "our").
By registering for, accessing, or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of an employer or other entity ("Customer"), you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" includes both you and the Customer.
2. Service Description
The Service is a cloud-based platform designed for construction and field operations, including but not limited to:
- Managing project documents and records
- Preparing and storing safety documentation (e.g., SWMS, onboarding records)
- Recording inspections, test results, and quality assurance data
- Generating reports and project logs
- Maintaining project compliance records
3. Eligibility and Accounts
3.1 Eligibility
You must be at least 18 years old (or older if required by applicable law) to use the Service.
3.2 Account Registration
You must:
- Provide accurate, current, and complete information
- Keep login credentials secure and confidential
- Promptly notify us of any unauthorized access or security incident involving your account
3.3 Admin Controls (Business Accounts)
If your account is created or managed by a Customer (e.g., your employer), the Customer's administrators may control your access, including adding/removing users, setting permissions, accessing logs, exporting data, or deleting content, subject to the Customer's agreement with you and applicable law.
4. Customer Data
4.1 Ownership
You (or the Customer) retain ownership of all data, files, documents, images, reports, and other content uploaded or submitted to the Service ("Customer Data"). StruxVault does not claim ownership of Customer Data.
4.2 Limited Processing Rights
You grant StruxVault and our service providers permission to host, store, process, transmit, and display Customer Data solely to:
- operate and provide the Service
- maintain security and prevent misuse
- provide support and troubleshoot issues
- improve reliability and performance (e.g. bug fixes, system monitoring)
4.3 Your Responsibilities
You are responsible for Customer Data you upload and represent and warrant that:
- you have all rights and permissions necessary to upload and use Customer Data; and
- Customer Data does not violate applicable laws or third-party rights.
5. Acceptable Use
You agree not to (and not to allow others to):
- Upload illegal, infringing, harmful, misleading, or malicious content
- Attempt to access, probe, or interfere with other customers' data or accounts
- Bypass or attempt to bypass security controls, authentication, or access limits
- Reverse engineer, decompile, or create derivative works from the Service
- Use scraping, bots, or automated tools to extract data (except via approved integrations or APIs, if available)
- Introduce viruses, malware, or any destructive code
- Use the Service in a way that disrupts or overloads infrastructure (e.g., denial-of-service)
6. Security Responsibilities
StruxVault implements reasonable administrative, technical, and organizational safeguards designed to protect Customer Data.
You are responsible for:
- Managing user access appropriately
- Protecting account credentials
- Verifying exported or shared data
- Maintaining your own internal compliance and recordkeeping requirements
7. Availability and Support
We aim to provide reliable service, but we do not guarantee uninterrupted availability. The Service is provided on an "as is" and "as available" basis.
Planned maintenance, upgrades, or emergency work may cause downtime. We will try to minimize disruptions where practical.
We maintain system backups and operational monitoring, but you are responsible for exporting or retaining critical records as required for your business or regulatory needs.
8. Construction-Specific Disclaimer and Limitation of Liability
8.1 Important Construction Disclaimer
StruxVault is a software tool only. It is not:
- Engineering advice
- Safety or compliance certification
- A substitute for site supervision or professional judgment
- A replacement for contractual, regulatory, or ISO obligations
8.2 Limitation of Liability
To the maximum extent permitted by law, StruxVault is not liable for any loss, damage, or claim arising from or related to:
- Loss of project data, documents, or records
- Project delays, cost overruns, or scheduling impacts
- Construction defects, non-compliance, or safety incidents
- Reliance on inspections, test results, or generated reports without independent verification
- Indirect, incidental, special, consequential, or punitive damages
- Lost profits, lost revenue, business interruption, or reputational harm
9. Fees
If the Service (or part of it) is offered for a fee:
- Subscription fees are billed monthly (unless otherwise agreed)
- Fees are non-refundable unless required by law
- We may change pricing with 30 days' notice (changes apply prospectively)
10. Termination and Suspension
10.1 Termination by You
You may cancel your account at any time by contacting info@struxvault.com.
10.2 Suspension/Termination by StruxVault
We may suspend or terminate access if:
- you violate these Terms
- fees are unpaid (if applicable)
- your use poses a security risk, legal risk, or could harm the Service or other users
- required by law or a valid legal request
10.3 Data After Termination
After termination, your access will end. We may retain Customer Data for a limited period to support export or deletion requests, subject to legal requirements and our retention practices described in the Privacy Policy.
11. Governing Law
These Terms are governed by the laws of New South Wales, Australia, excluding conflict of law principles.
You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales (meaning a claim may be brought there, and in some cases may be brought elsewhere if required by applicable law).
12. Intellectual Property
StruxVault and its licensors retain all rights, title, and interest in and to the Service (including software, branding, and documentation). Except for a limited, non-exclusive, non-transferable right to use the Service during your subscription, no rights are granted to you.
You must not use StruxVault's name or logos without prior written permission.
13. Third-Party Services
The Service may integrate with third-party tools or services. StruxVault is not responsible for third-party services, and your use of them may be governed by the third party's terms and policies.
14. Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant StruxVault a worldwide, royalty-free, perpetual license to use them without compensation or attribution.
15. Privacy
Your use of the Service is subject to the StruxVault Privacy Policy. Where StruxVault processes Customer Data on behalf of a Customer, the Customer may be the "controller" and StruxVault may act as a "processor" under applicable privacy laws.
16. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a revised "Last updated" date. Continued use after the effective date of an update means you accept the updated Terms.
